Terms of Service

1. Agreement to Terms

By accessing or using services provided by Clickflow ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Services

Clickflow provides AI-powered digital advertising management, creative production, and retention marketing services for direct-to-consumer brands. Our services include but are not limited to Meta Ads management, Google Ads management, Klaviyo lifecycle marketing, creative production, competitor intelligence, and performance reporting.

3. Client Obligations

You agree to provide accurate and complete information necessary for us to perform our services. You are responsible for granting appropriate access to advertising accounts, creative assets, and any third-party tools required. You retain full ownership of your advertising accounts, customer data, and creative assets at all times.

4. Billing and Payment

Services are billed on a monthly basis at the rate agreed upon during onboarding. Payment is due within 15 days of invoice date. Management fees are separate from and do not include advertising spend, which is billed directly by the advertising platforms. One-time project fees (such as email flow builds) are billed separately as agreed.

5. Cancellation

Either party may terminate the engagement with 30 days written notice. There are no long-term contracts or cancellation penalties. Upon termination, we will provide a full transition of all account access, assets, and documentation within the notice period.

6. Audience Collaboration

Participation in our audience collaboration network is entirely optional and opt-in. If you choose to participate, shared audience insights are used only with complementary, non-competing brands within our network. You retain full ownership of your data and may opt out at any time.

7. Confidentiality

We treat all client business information, performance data, and strategic details as confidential. We will not share your information with competitors or third parties without your explicit written consent, except as required to perform our services (e.g., working with advertising platforms).

8. Limitation of Liability

Clickflow provides advertising management services on a best-effort basis. We do not guarantee specific performance outcomes, return on ad spend, or revenue results. Advertising performance is influenced by many factors outside our control, including market conditions, product-market fit, and platform algorithm changes. Our total liability is limited to the fees paid for services in the preceding 3-month period.

9. Intellectual Property

Creative assets, ad copy, and strategic frameworks developed during our engagement are owned by the client upon payment. Our proprietary AI systems, tools, processes, and methodologies remain the intellectual property of Clickflow.

10. Changes to Terms

We may update these terms from time to time. We will notify active clients of any material changes via email. Continued use of our services after changes constitutes acceptance of the updated terms.
